The notion of ETBUS is translated in French as "Exercer une activité ou du commerce aux Etats-Unis". This qualification will allow you to know the tax regime applicable to your LLC.

To be considered as an ETBUS, you must have a physical presence in the USA (offices, employees). However, doing e-commerce on American soil, by sourcing from China for example, will not make you an ETBUS.

Taxation of your LLC as an NRA

If you are ETBUS

In this case, you have 2 choices of taxation.

Partnership Taxation

The taxes will not be paid by the LLC but by the members directly, to the extent of their participation in the company. The taxation will then be done according to the tax brackets applicable to you at the federal and state level.

The Taxation Corporation

Taxes will be paid by the LLC according to the applicable corporate income tax schedule. Partners will be subject to dividend taxes.

If you are non-ETBUS

Being non-ETBUS, you will be taxed at 0% in the USA. Indeed, your LLC will not be subject to the corporate tax rate. The LLC being a partnership, the taxation will take place in the country where you establish your tax residence.  

If you live in France

Your LLC will not be taxed if you reside in France and are non-ETBUS. However, taxation will occur in France.

You will be subject to income tax and social security contributions. Deductions may be applied to your bases according to the turnover.

If you are expatriated outside France

Your LLC is not taxed if you reside outside of France and are non-ETBUS. However, you will be taxed in the country where you establish your tax residence.

In some countries, there is no income tax. It will be possible to reach 0% if you choose a country that does not tax income.

Steps to create your LLC in the USA

1 - Choose a state
